Food and Beverage (F&B) Business Terms and Conditions
Version 1.7
Service Provider: ArtiVortex Free Zone Establishment (FZE)
Effective Date: Upon acceptance by the subscribing Business
1. Agreement and Acceptance
These Terms and Conditions (“Terms”) govern the registration, subscription, access to, or use of AI-Menu, a software platform owned and operated by ArtiVortex Free Zone Establishment (FZE) (“ArtiVortex”).
The individual registering on behalf of a Food and Beverage (F&B) Business (“Business”) represents and warrants that they are authorized to enter into these Terms and bind the Business.
By accepting these Terms electronically, the registering individual agrees to them on behalf of the Business and acknowledges the separate AI-Menu F&B Business Privacy Policy.
The Business is responsible for providing accurate registration and authorization information. Electronic acceptance may be recorded with the applicable document version, account identity, and timestamp.
2. Platform Services
AI-Menu provides digital menu management, ordering, customer engagement, loyalty management, promotional tools, and other features available under the Business's subscription.
ArtiVortex provides the technology platform and does not operate or manage the Business, its products, employees, customers, transactions, inventory, pricing, promotions, or loyalty programs.
ArtiVortex may maintain, modify, improve, replace, or discontinue platform features, subject to applicable law and contractual rights.

3. Business Accounts and Responsibilities
The Business is responsible for:
- Providing accurate registration and operational information.
- Managing authorized users, employee permissions, and account security.
- Maintaining accurate menus, prices, inventory information, discounts, and promotions.
- Reviewing orders, transactions, loyalty balances, and operational records.
- Complying with applicable laws governing its business and customer relationships.
- Promptly reporting suspected errors, unauthorized activity, or security concerns.
The Business is responsible for activities performed through its authorized accounts, except to the extent attributable to ArtiVortex's own legally established responsibility.
4. Customer Data and Marketing
The Business is responsible for the lawful collection and use of customer information in connection with its operations, loyalty programs, and promotional activities.
Promotional communications must be sent only where valid consent or another legally permitted basis exists.
The Business must respect customer marketing preferences and withdrawal requests and must not circumvent platform consent controls.
ArtiVortex provides technical data-processing services in accordance with applicable law and the relevant Privacy Policy.
5. Loyalty Programs and Customer Obligations
The Business is responsible for managing and fulfilling its loyalty programs, including points, rewards, redemptions, promotions, and customer disputes.
The Business agrees to adopt and comply with the standardized AI-Menu Customer Terms and Conditions presented through its digital menu.
The Business may modify, suspend, or discontinue its loyalty program, subject to applicable law and existing customer rights. Where a program is discontinued, the Business is responsible for determining and administering appropriate treatment or alternative benefits for eligible outstanding points.
Where an incorrect points balance is identified, the Business may correct the balance using AI-Menu's adjustment functionality, with the adjustment and its reason recorded in the system. The Business is responsible for notifying affected customers of relevant corrections and addressing their inquiries in accordance with applicable law.
The Business must promptly report suspected system defects to ArtiVortex and take reasonable steps to prevent further avoidable losses. ArtiVortex shall be given a reasonable opportunity to investigate and remedy reported defects and shall not be responsible for losses caused or increased by the Business's failure to take reasonable mitigating action, to the extent permitted by law.
ArtiVortex is not responsible for determining or funding customer loyalty rewards or compensation, except to the extent required by its own legally established obligations.
ArtiVortex recommends that the Business establish clear loyalty-point expiry dates and redemption conditions that reflect its operational capacity and ability to fulfill customer rewards. Where the Business intends not to renew its AI-Menu subscription, ArtiVortex encourages the Business to stop issuing new loyalty points sufficiently in advance of subscription expiry and provide customers with a reasonable final redemption period. The Business remains responsible for communicating applicable deadlines and honoring eligible outstanding rewards in accordance with its published loyalty program rules, existing customer rights, and applicable law.
Before expiry or termination of its AI-Menu subscription, the Business is encouraged to review and retain an appropriate record of customers’ eligible outstanding loyalty balances, subject to applicable data-protection requirements. Expiry, cancellation, suspension, or termination of the subscription does not, by itself, extinguish the Business’s existing customer loyalty obligations or transfer responsibility for loyalty rewards to ArtiVortex. The Business remains responsible for addressing eligible outstanding points or providing appropriate alternative benefits in accordance with its program rules and applicable law.
6. Subscriptions and Payments
Subscription fees and periods are determined according to the Business's agreed subscription package and applicable commercial offer.
Payment must be made in advance through a payment method approved by ArtiVortex.
Paid subscriptions are activated following receipt and verification of the applicable subscription payment.
Subscriptions are subject to renewal at the end of the agreed subscription period. ArtiVortex may issue renewal and grace-period notifications. If payment is not received within the applicable grace period, ArtiVortex may suspend access and subsequently terminate the subscription.
Free trials, where offered, may be subject to duration, functionality, and usage restrictions.
7. Cancellation and Refunds
The Business may elect not to renew its subscription upon expiry of the agreed subscription period.
Subscription fees paid in advance are non-refundable if the Business voluntarily cancels its subscription, stops using AI-Menu, or decides to discontinue the service during an active subscription period.
The Business shall not be entitled to a full or partial refund for any unused portion of the subscription period due to a change of mind, business closure, reduced usage, or voluntary discontinuation, subject to applicable law.
Termination resulting from the Business's material breach does not entitle it to a refund of unused prepaid fees, except where required by applicable law.
Verified duplicate payments or incorrect charges will be refunded as appropriate.
Where ArtiVortex permanently discontinues a prepaid service without a breach by the Business, the unused prepaid portion may be refunded, subject to applicable law and the agreed subscription terms.
For a material service defect that cannot reasonably be remedied, an appropriate correction, service credit, or refund may be provided as required by applicable law or the agreement.
Approved refunds will ordinarily be processed by bank transfer to the verified Business account within 14 business days following approval.
8. Service Availability and Technical Limitations
AI-Menu is provided using commercially reasonable technical and operational measures.
The Business acknowledges that software services may experience interruptions, maintenance, technical errors, connectivity issues, or third-party service disruptions.
ArtiVortex does not guarantee uninterrupted, error-free, or permanently available operation.
The Business is responsible for maintaining reasonable operational oversight and promptly reporting material issues so they can be investigated.
ArtiVortex shall not be responsible for delays or failures caused by events beyond its reasonable control, to the extent permitted by applicable law.
Nothing in these Terms excludes responsibilities that cannot legally be excluded.
9. Security and Data Protection
ArtiVortex implements reasonable security measures appropriate to the nature of its services.
The Business is responsible for protecting its credentials, managing employee access, and preventing unauthorized use of its accounts.
Data is processed through authorized technical infrastructure and service providers in accordance with applicable data-protection requirements.
Each party remains responsible for its own obligations under applicable law.
10. Suspension, Termination, and Data Retention
ArtiVortex may suspend or terminate access for nonpayment, misuse, unlawful activity, security risks, material breach of these Terms, materially false or misleading business information, or other legitimate grounds permitted by applicable law.
ArtiVortex may immediately suspend access where reasonably necessary to address serious misconduct, security threats, unlawful activity, or material risks. Where appropriate, other breaches may be subject to notice and an opportunity to remedy before termination.
Following termination, ArtiVortex may retain relevant account data for up to 90 days before deletion, except where a different period is required or permitted by applicable law.
Termination does not create an entitlement to continued platform access, indefinite data storage, or customized data-recovery services, subject to applicable law.
11. Intellectual Property and Confidentiality
AI-Menu, its software, platform design, technology, and associated intellectual property remain the property of ArtiVortex or its licensors.
The Business receives a limited, non-exclusive, non-transferable right to use AI-Menu during its authorized subscription period.
The Business retains ownership of its own lawful business content, branding, and materials.
The Business shall not copy, reproduce, reverse-engineer, disclose, distribute, or provide unauthorized third-party access to AI-Menu's non-public software, administrative interfaces, designs, workflows, documentation, or proprietary operating methods, except as expressly authorized by ArtiVortex or permitted by applicable law.
12. Limitation of Liability
To the maximum extent permitted by applicable law, ArtiVortex's total aggregate liability arising from or relating to AI-Menu shall not exceed the subscription fees actually paid by the Business to ArtiVortex during the three months immediately preceding the event giving rise to the claim.
Where no subscription fees were paid during that period, the calculated contractual liability cap is zero, subject to applicable law.
To the extent permitted by law, ArtiVortex shall not be liable for indirect or consequential losses, loss of profits, loss of business opportunities, or losses resulting from the Business's own operations, decisions, configurations, or misuse of the platform.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
13. Indemnification
To the extent permitted by applicable law, the Business shall indemnify ArtiVortex against third-party claims, losses, and reasonable expenses arising from the Business's unlawful activities, unauthorized marketing, misuse of customer information, infringing content, or material breach of these Terms.
This obligation does not apply to the extent the relevant claim arises from ArtiVortex's own legally established responsibility.
14. Changes to Terms
ArtiVortex may update these Terms to reflect changes in its services, business operations, or applicable legal requirements.
Material changes will be communicated where required by law, and renewed acceptance will be obtained where legally necessary.
15. Governing Law and Jurisdiction
These Terms are governed by the applicable laws of the United Arab Emirates.
Any dispute arising from or relating to these Terms shall be subject to the jurisdiction of the competent courts of the United Arab Emirates, subject to applicable mandatory legal requirements.
